Samantha represents companies, investment firms, and individuals in high-stakes commercial disputes, working across the full life of a matter — from pre-suit investigation through trial and appeal — in state and federal courts and in arbitration.

Sam’s practice centers on protecting the economics of negotiated deals. She works on disputes over the enforceability of deal documents, such as engagement letters, purchase agreements, service agreements, and related fee and tail provisions, along with the breach of contract, tortious interference, and unjust enrichment claims that often accompany them. She plays a lead role in developing the strategy for clients facing a counterparty trying to walk away from, reinterpret, or undercut a negotiated deal.

She also handles partnership and joint venture disputes, helping clients navigate conflicts over governance, ownership, and the terms that bind co-investors when a relationship breaks down.

Additionally, Sam represents lenders, financial institutions, and other parties in bankruptcy-related litigation, including priority disputes, fraudulent transfer claims and aiding and abetting allegations arising out of Chapter 11 cases. These are matters where the stakes are often existential and the litigation runs in parallel with a company’s restructuring.

Sam maintains an active pro bono practice, including asylum representation for a gender-nonconforming abuse survivor fleeing persecution from their home country. She and the team received the Above & Beyond award in 2025 for their life-saving advocacy for the client.

  • Private equity firm Lovell Minnick in a lawsuit presenting significant questions about the liability of private equity firms for acquisitions by their portfolio companies.
  • Individual directors in a high-profile mass tort litigation.
  • A major pharmaceutical company in two large antitrust patent lawsuits.
  • Several private equity firms in SEC investigations.
  • Underwriters to a pharmaceutical company in a complex securities fraud action.
  • Invesco Senior Secured Management, Inc., a global asset manager, against an Ad Hoc Group, an appliance-parts maker, and its private equity sponsor in a six-day trial in the Southern District of Texas Bankruptcy Court in a liability management dispute involving breaches of the relevant credit agreements and rightful control of the appliance-parts maker.
