With more than 40 years of legal experience, Richard brings a broad range of legal expertise to his representation of business clients. He counsels all kinds of businesses and start-ups, advising them with respect to initial and operational strategy and planning, corporate governance, strategic alliances, intellectual property licensing, personnel matters, and executive compensation agreements, as well as ownership agreements of all varieties. 

Richard also represents clients in the merger and acquisition arena, as well as recapitalizations and financings. Richard’s clientele includes diverse businesses such as steel manufacturers, pharmaceutical companies, general contractors, architects, engineers, and advertising agencies, and he has acted as virtual “in house” counsel to Dutch, British, Italian, French, German, and Swedish businesses with respect to their wholly owned U.S. subsidiaries.

Richard has represented:

  • Sellers in a $64 million cross-border asset sale of an industrial plastics company with properties located in the United States, Canada, and Mexico.
  • Majority sellers of a mid-Atlantic regional jewelry store chain in a merger pursuant to Delaware law of the chain into a subsidiary of a publicly owned department store jewelry concession chain.
  • The acquirer in the acquisition of the assets of a “sealed vacuum connector” manufacturing business.
